It is definitely some overhead needed for vMotion to operate its magic... So I guess with my 32 vCPU / 449 GB RAM VM, the needed overhead to vMotion must be close to 60GB...
But generally speaking, it looks like ESXi 5.1 uses less "regular" memory overhead than 4.x:
